2. The fair market value of shares of its own stock received by petitioner in an exchange of property determined for the purpose of computing gain or loss.
*1219 This proceeding involves the redetermination of a deficiency of $29,678.34 in income tax and $11,259.40 in excess profits tax for the year 1937. The issue is whether the petitioner realized gain in an exchange of real estate for real estate, cash, and shares of its own capital stock. The stipulation of facts is incorporated herein by reference as a part of our findings of fact.
FINDINGS OF FACT.
The petitioner, a Taxes corporation having a capital consisting of 5,000 shares of no par value, filed its income tax return for the taxable year with the collector for the second collection district of Texas. *1211 The principal asset of petitioner was the Trinity Building, a 16-story office building constructed in 1929 on leased ground situated in Fort Worth, Texas. The lease was renewable for 10-year periods until 1987.
In 1935 the Commercial Standard Insurance Co. of Fort Worth, Texas, hereinafter referred to as the Commercial Co., acquired all of the authorized capital stock of petitioner from the Trinity Bond Investment Corporation, 98 percent of whose stock was owned by the Commercial Co., for $625,000, or $125 per share, and until 1937 *1220 carried the stock on its books as stock. The Commercial Co. in 1935 was a growing company and had definite use for space in the building. Both companies were under the same management after the purchase of the stock. The Commercial Co. occupied four floors of the building in 1937, paying rent therefor the same as would have been charged other tenants for the space.
During the course of an examination by the insurance departments of the States of Texas, Illinois, Oklahoma, and Tennessee, as of December 31, 1936, the examiners suggested to the Commercial Co. that the Trinity Building be included in its assets as real estate instead*1212 of stock, inasmuch as the stock actually represented real estate. As the result of the suggestion the following transactions occurred simultaneously on December 1, 1937: The petitioner transferred the Trinity Building and the lease to the Commercial Co. At that time the building had a depreciated cost of $617,350.54 and was encumbered by a first mortgage of $259,500, which the Commercial Co. assumed. The Commercial Co. gave petitioner $60,000 cash and transferred to it 2,920 shares of petitioner's capital stock and the Reynolds-Penland Building, situated in Dallas, Texas. At the time of the transfer the Reynolds-Penland Building had a basis for depreciation of $40,800, a depreciated cost of $263,636.16, and was encumbered by a mortgage in the amount of $150,000, which the petitioner assumed.
The depreciated cost of the Trinity Building and the outstanding mortgage were eliminated from the books of the petitioner and in lieu thereof the amounts of $340,000 and $150,000 were entered as the value and the amount of the outstanding mortgage, respectively, on the Reynolds-Penland Building. The surplus account as the result of the exchange was reduced on the books from $366,726.95*1213 to $255,925.61. No change was made in the capital stock account.
At the time the exchange was made, the parties had an oral understanding in regard to how petitioner should hold the stock. The agreement was reduced to writing in 1939 at the request of insurance examiners. The agreement recites that petitioner owned and held 3,000 shares of its stock as treasury stock and provided for the delivery of 3,000 shares of stock to the Commercial Co. in the event petitioner failed to comply with its contract to renew the ground lease to guarantee performance of which certificates for the stock were delivered to the Commercial Co,, petitioner, however, to retain ownership thereof and enjoy all the dividends, benefits, voting privileges, and revenue from the stock until such time as ownership of the stock was transferred to the Commercial Co. Petitioner further agreed that it would not alter its capital stock structure during the life of the agreement without the consent of the Commercial Co.
Petitioner's books reflect that it had a profit of $13,032.88 in 1930 and losses each year thereafter through 1936 aggregating $112,070.98. *1221 Decreases in operating losses in 1935*1214 and 1936 were due to the occupancy of space in the Trinity Building by the Commercial Co. and a decrease in the interest rate under the mortgage outstanding against the property.
In 1938 the petitioner sold 320 shares of its treasury stock to the Commercial Co. for its book value of $73.34539 per share. The purchases were made to provide petitioner with money to improve the Reynolds-Penland Building.
The report filed by the Commercial Co. with the United States Treasury Department for the period ended December 31, 1937, states that it owned 2,080 shares of stock of petitioner, having a book value of $260,000 or $125 per share, and that it had disposed of 2,920 shares of the stock during the year for a consideration of $365,000, an amount equal to cost and book value. The Reynolds-Penland Building was returned by petitioner at $256,436.16 in its income tax return for 1937 for depreciation reserve purposes. The balance sheet of petitioner on December 31, 1937, as disclosed by its 1937 return, shows as an asset treasury stock in the amount of $194,365.28.
In its return for 1937 petitioner reported that the sale of the Trinity Building resulted in neither gain nor loss to it. *1215 The 2,920 shares of stock involved in the transaction were included in the computation at a value of $194,365.28.
In his determination of the deficiency the respondent taxed petitioner on capital gain of $90,135.42 from the transaction, computed as follows:

The value given the stock by the respondent is equal to its book value and is the fair market value thereof.
OPINION.
DISNEY: Petitioner's first contention is that a corporation does not realize taxable gain by a sale of its assets for shares of its own stock. *1222 Similar questions under earlier revenue acts have been before this Board and the courts. In
Article 22(a)(16) of Regulations 94, promulgated under the Revenue Act of 1936, to the extent material here, follows
Whether the acquisition or disposition by a corporation of shares of its own capital stock gives rise to taxable gain or deductible*1217 loss depends upon the real nature of the transaction, which is to be ascertained from all its facts and circumstances. * * *
But if a corporation deals in its own shares as it might in the shares of another corporation, the resulting gain or loss is to be computed in the same manner as though the corporation were dealing in the shares of another. So also if the corporation receives its own stock as consideration upon the sale of property by it, or in satisfaction of indebtedness to it, the gain or loss resulting is to be computed in the same manner as though the payment had been made in any other property. * * *
It is evident that the regulation was intended to cover transactions such as the one involved herein, i.e., that shares of petitioner's capital stock received as consideration in the exchange must be included in the computation of gain or loss at its fair market value. Petitioner took the stock up on its books and reported it in its 1937 return in computing gain or loss on the transaction at a fair market value of $194,365.28. Is the regulation valid without a change in the statute?
The question appears to be answered by *1218
In National Manufacture & Stores Corporation v. Allen (U.S. Dist. Ct., Mid. Dist. Ga., Nov. 2, 1940), the court held that the change made in the regulations in 1934 had no application to the 1936 Act, upon the ground that the old regulation had come to have the force and effect of law through reenactments of the statute in the same language and that the meaning could be changed only by Congress. There was no appeal from the decision. The Wilshire Oil Co. case is not discussed in the opinion of the court. We think the court's conclusion is contrary to the reasoning of the Supreme Court in the Wilshire Oil Co. case and decline to follow it here.

The transaction is clearly within Regulations 94, article 22(a)(16), supra. Petitioner and the Commercial Co. were separate taxpayers, notwithstanding the fact that prior to the transfers the latter corporation owned all of the stock of the former. Petitioner received in the deal, as part of the consideration for the property given up, 2,920 shares of its own stock, which stock it could have sold to third parties, subject to the restrictions imposed upon it by the transfer agreement. The Commercial Co. remained the sole stockholder of petitioner only by reason of the failure of petitioner to dispose of the stock received in the exchange.
The liability of the petitioner for a tax on the exchange is not controlled by the manner in which it recorded the transaction on its books.
*1222 Petitioner requests us to find that the stock had no fair market value. Two witnesses presented by petitioner, testifying as experts, in response to hypothetical questions testified that the stock had no value on the basic date. Although the hypothetical questions contained facts in addition to the book earnings and losses of the petitioner, these witnesses based their opinions largely upon lack of earnings of the corporation prior to the basic date. Alleged restrictions on the stock, including voting privileges, were other factors entering into lack of value. One witness attached no significance to the sales in 1935 and 1938 of shares of the stock at $125 and $73 per share, respectively, and that a purchase of 2,920 shares would give the buyer control of the corporation. The other witness acknowledged that the stock had value of the purchaser had need for a substantial part of the office space in the building. This witness, who was the president of the Commercial Co. and vice president of petitioner, further testified that the price of $125 per share paid for the stock in 1935 was a fair price in view of the fact that the purchaser needed space in the building for its growing*1223 business.
The sale of the stock in question was not impossible, as in
The evidence supports the determination of the respondent. There was a sale of all petitioner's stock in 1935 for $125*1224 per share and this price was regarded by one of petitioner's witnesses as a fair price, considering the purpose for which the buyer desired the stock. In 1938 the same buyer purchased 320 shares of the stock at a price of $73.34539 per share, an amount equal to its book value, which was the fair market value determined by the respondent. The Commercial Co., the sole stockholder of petitioner, declared in a report to the Treasury Department that the stock had a fair market value of $125 per share in 1937. The Trinity Building, petitioner's principal asset prior to the exchange, had a depreciated cost of about $600,000 and was appraised as of January 1, 1938, at a present worth of about $730,000. The stock in question was entered in petitioner's books at a value of $194,365.28.
The evidence before us does not warrant a disturbance of the respondent's finding that the stock had a fair market value of $214,168.54. Accordingly,
Decision will be entered for the respondent.
